Yvonne Gyimah specializes in strategy and operations management consulting, serving corporate clients across various industries throughout the entire transaction lifecycle, including pre-sign, sign to close and post-close. Ms. Gyimah has over 15 years of experience which includes medical devices, animal health, pharmaceutical, retail and consumer products, telecom, media and technology and diversified products.
Ms. Gyimah has deep experience in sell-side efforts covering deal strategy and management and implementation, leading operating model definition and assessments, standalone costing, buyer negotiations and preparation, initial future state design and optimization, defining deal timelines and cross-functional critical paths, defining operational separation strategy, managing transition planning and execution across the value chain, designing interim post-close commercial operations operating models, operationalizing and standing up NewCo legal entities, Day 1 readiness planning and transition service agreement management.
Ms. Gyimah’s merger and integration efforts cover strategic change management and communication, synergy management, organizational design, integration planning and execution and managing transformational strategic business initiatives.
Notable engagements include advising the joint IMO on an over $100 billion acquisition, $16 billion carve-out and three-way spin-off of a Fortune 100 chemicals business; leading the commercial operations separation across 120 markets for a highly regulated $14 billion consumer products business within six months from a Fortune 100 life sciences company; and leading the commercial operations separation effort of a $2 billion Reverse Morris Trust spin-off of a global animal health business. She also advised a global Fortune 100 diversified products business during the $2 billion separation of the global logistics businesses. In this role, she managed the contracts separation process, worked with legal and the deal team to define deal timeline options via the carve-out management office, and draft/manage the deal closing checklist. Additional experience includes the synergy planning and capture, organizational design, integration and strategic planning of a $13 billion U.S.-based drilling business into a global Fortune 500-oil field services company. Ms. Gyimah also advised on the sales and marketing workstream of an integrated communications business during a $2 billion integration and operating model redesign.
Prior to joining FTI Consulting, Ms. Gyimah was member of EY’s Transactions Strategy & Operations deal strategy and management group, focusing on large complex global sell and separate deals. She has successfully led complex separation and integration management offices for large transactions resulting in achieving timely successful closes, favorably negotiating significant deal cost items, preserving and optimizing value based on strategic assessments and well-designed target operating models. Ms. Gyimah contributed to the EY Divestiture Advisory Services thought leadership “Roadmap to Part 2: Sign to Close Navigating the Path to Carve-out Success”.
Prior to that, Ms. Gyimah focused on financial statement analysis and audits for hedge funds, private equity and broker dealers within EY’s Financial Services Office. Before EY, she was an assistant product manager with IBM Global Finance.
Ms. Gyimah is an Emeriti Board of Trustee and a former alumni board of director for Colgate University. In this role, Ms. Gyimah served on the Audit Committee, Student Affairs and Athletic Committee.
