Amir Agam is a Senior Managing Director in the Turnaround & Restructuring practice. Mr. Agam has more than 20 years of experience in advising companies that are undergoing significant transitions and serving in interim management positions, such as interim Chief Financial Officer (“CFO”) and Chief Restructuring Officer (“CRO”). He has industry expertise in media and entertainment, retail, grocery, consumer products, manufacturing and distribution, education, and financial institutions.

Mr. Agam’s experience includes advising on complex restructuring and turnaround situations in out-of-court restructurings and in formal bankruptcy proceedings. Specific areas of Mr. Agam’s experience also include business plan development and review, cash flow forecasting, liquidity management, development of accounting and finance function capabilities, identification and implementation of cost reductions, negotiation restructuring plans, bankruptcy planning and execution, obtaining financing, business and asset sales, and maintaining operations during transitions.

In regards to his CRO work, Mr. Agam served as the CRO of Open Road Films, a film distribution company, prior to and during its bankruptcy where he conducted negotiations with secured lenders on financing and operational issues, managed bankruptcy filing and sale process, operational issues, and cash forecasting/liquidity management, resulting in the successful selling of the company’s assets in a complex 363 sale. Mr. Agam also served as CRO for Fresh & Easy, a grocery chain with over 100 stores, where he worked with management and the parent company to address strategic questions on the company’s direction. He also oversaw all elements of the bankruptcy process, including negotiations with key constituents, lease and asset sales, store liquidation, and sale of equipment.

Mr. Agam served as interim CFO for a sports events company upon its acquisition as a private equity portfolio company, where he built finance department capabilities, including cash forecasting and management. He also managed all elements of the finance and accounting function until permanent CFO was hired and transitioned. Additionally, Mr. Agam served as interim CFO for a television production company, where he managed key finance and accounting functions, including financial reporting and forecasting and addressing other key priorities.

Mr. Agam’s financial advisory work includes advising Fleetwood Enterprises, a $1 billion public manufacturer of housing and recreational vehicles, as it conducted the sales of its three divisions. In this role, he supported all aspects of the restructuring and eventual bankruptcy process, including operational analyses of the company’s business lines, bankruptcy planning and implementation, DIP and cash collateral negotiations, and analyses to support the sales of the company’s business lines. He also served as financial advisor to THQ, a public video game production/distribution company, where he re-built cash management and forecasting capabilities and managed cash forecasting during period while the company had no CFO. In this role, he negotiated forbearance terms with secured lenders and provided court testimony related to cash forecasts, and managed liquidity to enable the company to sell its operating businesses through a sale conducted through a Chapter 11. Additionally, Mr. Agam advised Corinthian Colleges, a public for-profit education company, with a focus on cash flow improvement, negotiations with counterparties and vendors, and related strategic analyses and ultimately achieved the sale of the majority of the business under difficult operational and regulatory circumstances.

Mr. Agam holds a B.A. with honors in business economics with a minor in accounting from the University of California, Los Angeles and an M.B.A. with honors from the Wharton School of Business at the University of Pennsylvania. He is a Certified Turnaround Professional and a Certified Insolvency and Restructuring Advisor. He is a member of the American Bankruptcy Institute, the Association of Insolvency & Restructuring Advisors, the Turnaround Management Association and the Financial Lawyers Conference.

As a result of his industry expertise and history of success, Mr. Agam was recognized as one of M&A Advisor’s 40 under 40 Emerging Leaders in the Service Professional category in 2015.
